SPAA is an endeavour of several enthusiasts.
St.paul's alumni are like gems in the globe, their glitter is difficult to sustain.

spaa is an attempt to enable alumni to meet under one roof as and when the opportunity is created.

St. paul's premises gwalior awaits to extend warm embrace to alumni. It is a matter of pride to even sense the strength of union of ALUMNI .
SPAA is a platform for bringing the Alumni together. Every individual is unique , and to talk of the Alumni of St. Paul's, One simply falls short of words,

What is it?
It is an effort to unite the St. Paulian. We are grateful to the management particularly to Rev. Fr. V. Joyce Sebastian, for his kind support, cooperation & Valuable guidance.

MEMORANDUM OF ASSOCIATION Of society called THE ST.PAUL’S ALUMNI ASSOCIATION
Name:
The name of the society shall be the ST. PAUL’S ALUMNI ASSOCIATION

Office:
The office of the society will be situated at St. Paul’s school Morar, Gwalior premises.

Area of operation:
The area of operation of the society shall be whole of India.

Objects: The objects of the society shall be as under :-

  • Providing forums for alumni to network with their peers.
  • Organizing and coordinating reunion activities.
  • Promoting alumni relationship among themselves and between the management and the staff of the school.
  • To recognize the heritage of St.Paul’s school Morar, Gwalior and its contribution.
  • To let the alumni acknowledge their gratitude to their Alma Mater.
  • To maintain healthy relationships on the humanitarian grounds.
  • To work under the guidance of management of school to promote closer friendship and coordination among present and future alumni.

Management:
The management of the affairs of the society is done by the rules and regulations of the society by the President /Board of directors (committee) or governing body, whose names, addresses, and occupations are specified below.

RULES AND REGULATIONS OF THE SOCIETY CALLED “THE ST.PAUL’S ALUMNI ASSOCIATION OF GWALIOR”
1. Name of the society: The Name of the Society shall be “THE ST. PAUL’S ALUMNI ASSOCIATION”
2. Office of the Society: St.Paul’s School,Gwalior
3. Area of operation: The area of operation shall be whole of India.
4. Aims and Objectives:
  • Providing forums for alumni to network with their peers.
  • Organizing and coordinating reunion activities.
  • Promoting alumni relationship among themselves and between the management and the staff of the school.
  • To recognize the heritage of St.Paul’s school and its contribution.
  • To let the alumni acknowledge their gratitude to their Alma Mater.
  • To maintain healthy relationships on the humanitarian grounds.
  • To work under the guidance of management of school to promote closer friendship and coordination among present and future alumni.
5. Membership:
  • Life time membership: Any person who has been a student of St’Pauls and is willing to be a member has to apply in written such a application to the governing body which may accept the application along with a donation of Rs. 500 or more.
  • The members of the managing body and the staff of St. Paul’s School who are willing to be members can be the members of the society provided that they apply for the membership and do the needful.
  • The members of the society shall be such person or persons of good standing , capable of promoting the objectives of the association.
  • They may be from time to time invited in writing by the President to be the members or member of the society and approved by the governing body.
  • They shall have intimated their consent in writing to become the members of the society and have signed the register of membership.
6. Members bound by the Memorandum:
  • Every member of the society shall be bound by the provisions of the Memorandum of Association and the rules and regulations of the society and the decisions , from time to time, made or taken by governing body.
  • It shall be lawful for the President to temporarily suspend anyone, who is found working against the objectives of the society.
7. End of membership:

Any member shall cease to be the member of the society in case of any one of the following.:

  • Death
  • Insanity
  • Non acceptance of registration
  • On indulgence in activities likely to injure or prejudice the interest or cause of the society.
  • On tendering the resignation in writing to the society, and by accepting of it from the Governing Body.
  • On member being declared guilty of any offence by any court in India.
  • On expulsion by the society. The member shall be served with the copy of the expulsion in writing regarding this decision by the President.

8. Register of the membership:
  • Register of the membership shall be maintained at the registered office of the society.
  • It will contain name, address, designation, occupation, date of membership of the member.
  • Date of cancellation of the membership.

Meetings of the association:
  • A general body meeting will be held every year.
  • The “extraordinary general body meeting shall be called on the requisition of the governing body or 2/3 of the total number of members.
  • All meetings of the association, whether ordinary or extraordinary shall be convened on the notice of not less than 7 days, specifying the place, date, time and general nature of business to be transacted there at.
  • First general body meeting shall be called by the first signatory of the memorandum of the association within three months of the registration of the society.
  • A copy of the special resolution shall be sent to the registrar of societies within 14 days of the date of resolution.
10. MEETING OF THE GOVERNING BODY:
The meetings of the governing body shall be conducted thrice a year and the agenda of the meeting shall be intimated to the members of the governing body,seven days prior to the date of the meeting. Half of the members of the governing body shall form the quorum for its meetings.In case of lack of quorum the meeting may be adjourned for one hour and the adjourned meeting shall not required any quorum.
  Governing body:

The governing body shall consist of persons duly elected by the members of the society.
The members of the society shall also elect the following office bearers:

  1. The President
  2. The Vice President
  3. The Secretary
  4. The Treasurer
  5. Representative of Teacher
  6. PRO in Gwalior
  7. PRO outside Gwalior

11. Tenure of the governing body:
The tenure of the governing body shall be for three years. However, the governing Body will continue to function for a period not exceeding 6 months, with the approval of the general body, in the event, the new governing body is not yet elected in time due to any reason.
12. Rights and duties of the governing body :
  • To fulfill the aim and objectives of the society and to devise ways and means by which the aims and objectives can be achieved.
  • To present the audited accounts and progress report of the preceding year and the budget for the ensuring year in the annual general body meeting.
  • To appoint, dismiss and administer the employees of the institutions run by the society.
  • Any immovable property in the name of the society shall not be transacted without the written permission of registrar of the societies, either by sale or otherwise.
  • To call extraordinary meetings to propose amendments in the rules and regulations and put up before extraordinary general body meetings for necessary approval.
13. Voting: At all the meetings of the society every member present shall have one vote. In case of tie, the president shall cast the deciding vote. Voting by proxy shall not be allowed.

14. Expulsion of the members of the governing body:
Any member of the governing body, if found working against the objectives of the society shall be liable for expulsion / suspension by ¾ majority of the governing body. However, before expulsion /suspension , the member shall be given sufficient opportunity of having heard in person or in writing.
15. Powers and duties of the office bearers of the governing body:

a) President:

  • Shall preside over all the meetings of the governing body and the administrative body.
  • Shall have full powers to sanction contingent expenses for which approval of the governing body shall be taken in the following meeting.
  • Shall have the right to give casting vote in the case of ties in the meetings of the bodies. His/Her opinion/decision will be final in matters concerned and binding upon the members.
  • Shall exercise such powers and perform such functions, as may be needed to obtain the aims and objectives of the society.

b) Vice President :

Shall preside over the meetings of the bodies in the absence of the President and do such acts as laid down under the rules and regulations of the society or delegated by the President.

c) Secretary :

  • The Secretary shall look after day today working of the society. He/She shall look after all the correspondence of the society, keep the book of register of membership and book of minutes of the meeting of the governing body and administrative body and arrange for the works assigned and delegated by the president.
  • Shall issue notices for meetings and prepare the agenda for the meetings of the governing body and general body and prepare annual report.

d) Treasurer :

  • Shall take care of all the financial matters under the direction and guidance of the President.
  • Shall keep all the records, funds , books of account, property papers, movable and immovable in the safe custody.
  • Shall issue receipts for the amount / assistance received on behalf of the society.
  • Shall be responsible to the President and all actions and transactions without consent of the President shall be null and void.

e). Teacher Representatives :

  • To ensure that student representation is made and due credit is given to the concerned
  • To strike a proper coordination between the governing body & the school.

f). PRO in Gwalior
Shall look after the relations of the society with the members within the committee and outside.

g). PRO outside Gwalior
Shall look after the relations of the society with the members within the committee and outside.

  Elections of Governing Body: The first governing body shall function for 3 years after which elections will be conducted according to the general concensus
16. Resolution in case of urgent need: * In a situation of urgent need, the resolution shall be arrived at the meeting of the governing body, convoking the members by telephone and giving them by the same telephone the time and place of the meeting, and such resolutions shall not be deemed invalid by reason of want of written notice or any other cause what so ever.
17. Relationship with St. Paul’s School : All the activities of the society are done under the directives of the school.
  Bank Transaction:
The Bank account of the society and the institutions run by it will be opened in a scheduled bank and these accounts will be operated under the joint signature of any two from amongst the President, Vice President, secretary or treasurer.
  Disputes:
  • In case of any disputes arising in the society. The President shall have powers to settle it. He may refer the same to Administrative Body for arbitration. If the concerned parties feel aggrieved with the decision, the matter may be referred to the registrar of societies.
  • The Governing body may appoint a person or persons for the purpose of representing the society and or the Governing body in any legal or other proceeding to be instituted by or against the society.
  Power of the Registrar to call meeting :
If the meeting is not called as per the registered rules and regulation of the society, the registrar of society , M.P, may call the meeting of the society. In that event agenda of the meeting shall be prepared by him.
  Information to be sent to the Registrar :
Under section 27 of the M.P societies Registration Act 1973, the list of members of latest elected Governing Body with their full names, address and occupation and under section 28 of the said act statement of audited accounts shall be sent to the Registrar, within 14 days of the annual general body meeting.
  Amendment :
The memorandum and the rules and regulation of the society can be amended, altered or abrogated in the meeting of the General body with the majority decision of not less than 2/3 members present in the meeting. The registrar of the societies shall be empowered to make proper amendments in the memorandum and in the Rules and Regulation in the interest of the society from time to time.
  Winding up : The winding up of the society and endowments of its assets will be considered only by the 3/5 majority voting in the meeting of the general body
  Head Quarters : The Head Quarters of the Society shall be at St. Paul School, Morar, Gwalior.
